    截至目前，经国务院同意，我国已有5家股份制商业银行和城市商业银行获准吸收境外投资者人股，其中单个外资机构入股中资银行的最高比例为15％。吸收外资入股，在改善中资金融机构的资本结构，引进先进管理模式和经营理念，促进经营方式与国际接轨等方面发挥了明显和积极的作用。在这里举两个例子。
    上海银行：上海银行吸收了国际金融公司、汇丰银行、香港上海商业银行投资人股，三个外方股东总共持股18％。外方股东通过提供各种技术援助和派驻董事发挥作用，使上海银行在完善治理结构、引进先进的经营管理理念和技术、加强内控等方面取得了很大进步，在城市商业银行中较早采用了规范的年报制度，披露经营管理状况。
    南京市商业银行：吸收国际金融公司入股，持股比例为15％，是第三大股东。IFC入股后，在完善南京市商业银行的治理结构、经营管理体制、信贷结构、会计制度等方面提出了大量建议，其中很多建议已在实施之中，对促进南京市商业银行提高经营管理水平发挥了重要作用。

答案 Deepening the financial reform in China will offer new opportunities to facilitate cooperation between foreign banks and the Chinese banks. The China Banking Regulatory Commission (CBRC) encourages foreign banks to acquire equity in Chinese banks. This benefits both foreign banks in terms of business, customer and market, and Chinese banks in terms of introduction of advanced experience and practice in corporate governance, internal control, risk management and operation concept. Qualified strategic investors from abroad are welcome to participate, on a voluntary and commercial basis, in the reorganization and restructuring of Chinese financial institutions as an important measure to deepen the financial reform. With the approval of the State Council, the CBRC decides to increase the equity share of a single foreign institution to 20 percent from the previous 15 percent. As long as the equity share of the total foreign investment in a financial institution is lower than 25 percent, the nature and business scope of the institution with foreign equity remain unchanged. With the approval of the State Council, so far five joint-equity banks or city commercial banks are authorized to sell equity to foreign investors, although the maximum equity share of a single foreign investor is limited to 15 percent. The introduction of foreign investment plays a positive role in improving the equity structure of Chinese financial institutions, introduction of advanced banking management model, and bringing our banking activities in line with the international practice. I give you two operation concept examples. Bank of Shanghai (BOS): After selling 18 percent of its equity to International Financial Corp. , the Hong Kong and Shanghai Banking Corp. Ltd. , and the Hong Kong Shanghai Commercial Bank, the BOS has made great progress in improving corporate governance, introducing advanced operation and management concept and expertise and tightening internal control. This is attributed to the technical assistance and appointment of resident directors from the three foreign investors. Consequently, the BOS is among the first city commercial banks to adopt the annual disclosure systems for reporting business management. Nanjing Commercial Bank (NCB): After acquiring 15 percent of the NCB’s equity share and becoming its third largest shareholder, International Financial Corp. has given NCB a lot of advice on corporate governance, operation management system, portfolio structure, accounting system, etc. These are being implemented. This plays an important role in helping NCB raise its level of business management.
